Welcome to RootStall

These Terms of Service ("Terms") govern your access to and use of the RootStall mobile application and website (the "App") and any related services provided by RootStall ("RootStall," "we," "us," or "our"), collectively referred to as the "Services." By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

RootStall is a local marketplace and community hub for Hawaii. The Services let you discover and post farmers markets, fairs, community events (including workshops, fundraisers, cleanups, meetups, and gatherings), and listings from local makers and vendors. We facilitate discovery and connections between attendees, buyers, vendors, market hosts, and event organizers — we are not a party to any underlying transaction, sale, or in-person event.

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other means. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Eligibility

You must be at least 18 years of age to create an account and use the Services. Minors between the ages of 13 and 17 may use the Services only with the permission and direct supervision of a parent or legal guardian who holds the account. Children under age 13 are not permitted to use the Services.

By using the Services, you represent and warrant that you meet the eligibility requirements and that any information you provide is accurate and complete.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration and in your profile.
• Keep your login credentials secure and not share them with others.
• Notify us immediately if you suspect unauthorized access to your account.
• Not create more than one personal account.

RootStall is not liable for any loss or damage arising from your failure to maintain the security of your account.

Using the Services

RootStall provides a platform that connects attendees, buyers, vendors, market hosts, and event organizers across Hawaii. You may use the Services to:

• Browse and discover local markets, fairs, community events, and vendors.
• Create and manage farmers markets (as a market host).
• Create and manage community events such as workshops, fundraisers, cleanups, meetups, and gatherings (as an event organizer).
• List and sell products at markets and events (as a vendor).
• Purchase products from vendors (as a buyer).
• Register for or attend events (as an attendee).
• Communicate with other users through in-app messaging.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any way that could damage, disable, or impair the Services, or interfere with any other party's use of the Services.

Market Hosts

If you create a market on RootStall, you are a "Market Host" and agree to the following:

• You are responsible for the accuracy of your market information, including dates, times, location, entry price (if any), and any requirements for vendors.
• You may set vendor participation requirements, including booth fees, approval processes, and compliance document requirements (such as business licenses, insurance certificates, or signed waivers).
• Compliance documents submitted by vendors are shared with you solely for the purpose of verifying vendor eligibility. You must handle these documents in accordance with applicable privacy laws and may not share them with third parties.
• You are responsible for managing your booth layout, vendor assignments, and any communications with vendors regarding your market.
• RootStall is a platform facilitator and is not responsible for the organization, operation, safety, or outcomes of your market.

Event Organizers

If you create a community event on RootStall (including but not limited to workshops, fairs, fundraisers, cleanups, meetups, sports events, classes, or other gatherings), you are an "Event Organizer" and agree to the following:

• You are responsible for the accuracy of your event information, including dates, times, location, entry price (if any), category, and any participation requirements.
• You are responsible for any required permits, insurance, waivers, age restrictions, food handling certifications, or other legal obligations associated with running your event in Hawaii.
• If your event has an entry fee, you are responsible for collecting that fee, refunding attendees when appropriate, and complying with Hawaii General Excise Tax (GET) and any other applicable tax obligations. RootStall does not currently process attendee ticket payments and does not handle refunds for entry fees.
• You may invite vendors to your event under the same terms as Market Hosts above. Compliance documents submitted by vendors are shared with you solely for verifying eligibility.
• You are responsible for the safety, conduct, and outcomes of your event, including the conduct of attendees and vendors.
• RootStall is a discovery and listing platform — we are not the organizer of your event, do not endorse it, and are not liable for any injuries, damages, disputes, or losses arising from it.

Attendees

If you discover, register for, or attend an event or market through RootStall, you are an "Attendee" and agree to the following:

• RootStall lists events and markets that are organized and operated by independent third parties. We do not run, sponsor, or endorse any individual event or market.
• You are responsible for confirming current details (date, time, location, price, age restrictions) directly with the host or organizer before attending. Listings can change or be cancelled at any time.
• You attend events and markets at your own risk. You release RootStall from any claims arising from your attendance, including injuries, property damage, theft, or disputes with hosts, organizers, vendors, or other attendees.
• Any entry fees, ticket purchases, or refunds are handled directly between you and the host or organizer. RootStall does not currently process attendee ticket payments.

Vendors

If you sell products through RootStall, you are a "Vendor" and agree to the following:

• You are responsible for the accuracy of your product listings, including descriptions, images, pricing, and inventory quantities.
• You must fulfill all orders promptly and in good faith. Repeated failure to fulfill orders may result in account suspension.
• You are responsible for complying with all applicable local, state, and federal laws and regulations related to your products and business operations, including but not limited to food safety, licensing, tax collection, and consumer protection.
• If a Market Host requires compliance documents (such as a business license or insurance certificate), you agree to provide accurate and valid documents.
• You may connect a Square payment account to accept card payments. You are responsible for maintaining your Square account and complying with Square's terms of service.
• RootStall does not guarantee sales, foot traffic, or any particular outcome from participating in a market event.

Buyers

If you purchase products through RootStall, you are a "Buyer" and agree to the following:

• You understand that products are sold by independent vendors, not by RootStall. RootStall acts as a platform facilitator and is not a party to transactions between buyers and vendors.
• Card payments are processed securely through Square, Inc. RootStall does not store your credit card or debit card numbers.
• When using the "Pay at Pickup" option, you understand that your order is not guaranteed until the vendor accepts it. Items may sell out or become unavailable before the vendor can fulfill your order.
• You are responsible for picking up your order at the designated market event within a reasonable time after it is marked as ready.
• Disputes regarding product quality, accuracy, or fulfillment should be addressed directly with the vendor. If you are unable to resolve a dispute, you may contact RootStall support for assistance.

Payments & Fees

Card Payments: Card transactions are processed through Square, Inc. By making a card payment, you agree to Square's terms of service. RootStall facilitates the payment process but is not responsible for payment processing errors, disputes, or chargebacks handled by Square.

Pay at Pickup: Cash or in-person payments arranged through the "Pay at Pickup" feature are transactions solely between the buyer and vendor. RootStall bears no responsibility for the collection or exchange of payment in these transactions.

Booth Fees: Market Hosts may charge vendors a booth fee for participating in their events. These fees are set by the Market Host and are not controlled by RootStall. When a vendor pays a booth fee via card, a digital receipt is generated and stored in the vendor's account, including the amount paid, payment date, and Square payment ID. Vendors can view and share their booth fee receipts at any time through the App.

Booth Fee Refunds: Booth fee payments are transactions between the vendor and the Market Host. If a Market Host edits or cancels a market event after vendors have paid booth fees, RootStall does not automatically issue refunds. Vendors must coordinate refunds directly with the Market Host. RootStall is not responsible for refunding booth fees under any circumstances.

Buyer Receipts: When a buyer completes a purchase, a digital receipt is generated and stored in the buyer's account. Receipts include the order details, amount, payment method, transaction ID (for card payments), and vendor information. Buyers can view and share their receipts at any time through the App.

RootStall reserves the right to introduce platform fees or modify fee structures in the future. Any changes will be communicated to users in advance.

Vendor Access

Selling on RootStall is currently free. Vendors apply through the App and are approved by RootStall before gaining access to vendor features, including listing products, accepting payments, pinning their location on the map, and applying to market events.

RootStall reserves the right to introduce vendor fees or subscription pricing in the future. Any such changes will be communicated to vendors in advance.

Orders & Cancellations

Order Acceptance: Vendors may accept or decline orders at their discretion. For "Pay at Pickup" orders, the vendor must accept the order before it is considered confirmed.

Cancellations: Both buyers and vendors may cancel orders under certain conditions:

• Buyers may cancel a pending order before it is accepted by the vendor.
• Vendors may cancel orders that they are unable to fulfill.
• For card payments, cancellations of accepted orders will result in inventory being restored. Refund processing is handled through Square in accordance with Square's refund policies.

RootStall is not responsible for any losses resulting from cancelled orders, including but not limited to lost sales, wasted preparation, or travel costs.

User Content

You retain ownership of the content you create and post on RootStall, including product listings, market event descriptions, profile information, photos, reviews, and chat messages ("User Content"). By posting User Content, you grant RootStall a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely in connection with operating and providing the Services.

You represent and warrant that you own or have the necessary rights to post your User Content, and that your User Content does not violate the rights of any third party.

You agree not to post User Content that:

• Is false, misleading, or deceptive.
• Is defamatory, obscene, abusive, or harassing.
• Infringes on any intellectual property or other proprietary rights.
• Violates any applicable law or regulation.
• Contains viruses, malware, or other harmful code.

RootStall reserves the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful or inappropriate.

Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Sell prohibited, illegal, or regulated items without proper licensing or authorization.
• Misrepresent your identity, products, or business.
• Harass, threaten, or abuse other users.
• Attempt to gain unauthorized access to other users' accounts or to RootStall's systems.
• Circumvent or manipulate the payment system, fees, or any other RootStall feature.
• Scrape, data mine, or use automated tools to collect information from the Services.
• Use another user's personal information obtained through the Services for purposes unrelated to RootStall transactions.

Violation of these rules may result in suspension or permanent termination of your account.

Intellectual Property

The RootStall name, logo, and all related trademarks, service marks, and trade names are the property of RootStall. The Services, including all software, design, text, graphics, and other content provided by RootStall (excluding User Content), are owned by RootStall and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services or RootStall's intellectual property without our prior written consent.

Account Suspension & Termination

RootStall reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise inappropriate.

You may delete your account at any time through the App settings. Upon account deletion, your profile information and product listings will be removed. Transaction records and other information required for legal compliance may be retained in accordance with our Privacy Policy.

If your account is terminated for violation of these Terms, you may not create a new account without our permission.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RootStall does not warrant that the Services will be uninterrupted, secure, or error-free. RootStall does not endorse, guarantee, or assume responsibility for any products sold by vendors, the quality or safety of products, the organization or safety of any market or event, or the conduct of any user.

RootStall is a discovery and listing platform that connects market hosts, event organizers, vendors, buyers, and attendees. We are not a party to any transaction between users, are not the organizer of any market or event listed in the App, and do not guarantee the fulfillment, quality, safety, or legality of any product, service, market, or event offered through the platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTSTALL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL ROOTSTALL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO ROOTSTALL, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless RootStall, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any applicable law or the rights of any third party.
• Your User Content.

Dispute Resolution

If you have a dispute with another user, we encourage you to resolve it directly through our in-app messaging feature. If you are unable to resolve a dispute with another user, you may contact RootStall support at rootstallhq@gmail.com for assistance. RootStall may, but is not obligated to, help mediate disputes between users.

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the United States. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in the United States.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RootStall regarding your use of the Services and supersede any prior agreements or understandings.
